Board of Directors


The Board of Directors is composed by 5 advisers – 4 effective and 1 substitute – chosen to serve a 2-year mandate by majority rule of the General Assembly, specially convened for this purpose.

Duties of the Board of Directors:

a) To analyze the strategic plan of work, elaborated by the Technical Coordination and to refer to the General Assembly for approval, as well as oversee its execution;

b) To approve and execute new projects;

c) To ensure that the objectives and IPAM’s statutory and regimental disposals and the decisions made by the General Assembly are respect and fulfilled.

d) To administer the patrimony and to manage IPAM’s resources;

e) To decide on the convenience of acts that result in transaction or renounce of rights, hiring of obligations in general, provision of guarantees, sales, buys, trade, transactions, mortgage, donations, loans or encumbrance of properties or patrimonial rights;

f) To hire and replace, when necessary, members of the Executive Board, ad referendum the General Assembly, supervise their activities and grant powers to administer IPAM;

g) To create other positions for the Executive Board and permanent organic executive positions, composed by an undetermined number of professionals, fixing general attributions and budget;

h) To present an proposal of indication of an honorary associate and meritorious of IPAM;

i) To approve the opening, transferring and closing of branches and offices, ad referendum the General Assembly;

j) To present the General Assembly an activity report of the previous exercise;

l) To present the General Assembly the financing demonstration and IPAM’s patrimonial balance followed by a feedback of the Audit Committee;

m) To value the recommendations of the Audit Committee and the Executive Board;

n) To deliberate on the hiring of independent audits, according to terms of Chapter IV of IPAM’s Social Statute, which discusses financing exercising and accountability;

o) To approve the Bylaws, the Administrative Guide and the Plan of Positions and Salaries elaborated by the Executive Board.
